  1. That in consideration of the covenants herein contained and the sum of One Hundred and Fifty Million Naira (N150,000,000) only paid by the Assignee to the Assignor at the execution of this Deed, ( the receipt of which the Assignor hereby acknowledges), the Assignor as the BENEFICIAL OWNER hereby assigns to the Assignee, ALL THAT PARCEL OF LAND situate, lying and located near The Golf Course Off AnwaiRoad Asaba, measuring approximately 2.01 Acres and bounded with beacon numbers SC/DT M6645BI, SC/DT M6646BI, SC/DT M6647BI, SC/DT M6648BI, particularly described in survey plan registered at the land Registry Asaba, Delta State, TO HOLD UNTO and to the use of the Assignee subject to the terms and conditions that may be stipulated in the Certificate of Occupancy and in accordance with the Land Use Act 1978.
  • The Assignor hereby covenants with the Assignee that the Assignee having fully paid the agreed sum of One Hundred and Fifty Million Naira (N150,000,000)only shall enjoy quiet and peaceful title and possession of the land without any interruption by the Assignor or any person claiming through it, under or in trust for it.
  • The Assignor hereby covenants with the Assignee to indemnify the Assignee fully and effectually of all liabilities, losses, claims incurred therefrom and shall indemnify and keep the Assignee indemnified against any claim and damage arising or connected with any defect in the Assignor’s title to the property. The Assignor further covenants to sign without any attachment or condition whatsoever any document that may be subsequently required in respect of title to the property for the purpose of giving full effect to the rights of the Assignee under this Assignment.
